Three Birdies Ai — Website Design & Development Agreement
This agreement ("Agreement") is between the Client identified in this intake form and August, operating as Three Birdies Ai ("Designer"), for website design, development, and related services as selected herein.
1. Scope of Work
Designer will design and develop a website as specified by the features selected in this intake form. Any scope changes after project start require written approval and may incur additional fees at Designer's current hourly rate of $85/hr.
2. Payment Terms
A 50% non-refundable deposit is required before work begins. The remaining 50% balance is invoiced at launch — after Client's written approval of the completed site — and must be paid in full before the site goes live. No site will launch until the 50% balance is received. Monthly maintenance plans are billed on the first of each month and may be cancelled with 30 days written notice. All fees are in USD.
3. Approval Process
Designer will present 2–3 template/layout options. Client selects one. Designer builds on a staging environment. Client reviews and provides consolidated written feedback (two rounds included). Designer presents final site for Client approval. Both parties confirm in writing before launch.
4. Timeline
Standard projects are completed within 2–3 weeks of receiving the deposit and all required materials. Rush projects are completed within 7 days and incur a $350 rush fee. Delays caused by Client in providing materials, feedback, or approvals extend the timeline accordingly without penalty to Designer.
5. Revisions
Two rounds of revisions are included. A revision round is a single consolidated list of changes submitted at one time. Additional revision rounds are $75 each, invoiced before work begins on that round.
6. Client Responsibilities
Client agrees to: (a) provide all required content — photos, text, logo, branding assets — within 7 business days of project start; (b) respond to Designer's questions within 3 business days; (c) provide clear, consolidated feedback; (d) provide written final approval before launch.
7. Website Platform & Ownership
All sites are built on WordPress with Elementor. Upon receipt of final payment, Client receives: full WordPress administrator access; all login credentials; a Loom video walkthrough of site management; and ownership of all custom design files created for this project. Designer retains the right to display completed work in a portfolio unless Client requests otherwise in writing.
8. Hosting & Domain
This agreement covers design and development only. Hosting is managed WordPress hosting (SiteGround or equivalent) at approx. $5–15/mo, paid by Client directly. Domain registration is approx. $12–15/yr. Designer will assist with setup and transfer.
9. Monthly Maintenance Plans
If a monthly maintenance plan is selected, it begins on the site's launch date. Plan includes: plugin and WordPress core updates; daily automated backups; security monitoring; and the content changes specified per plan tier. Maintenance plans may be cancelled with 30 days written notice. Designer is not responsible for third-party plugin changes or platform outages outside Designer's control.
10. Legal Compliance
Designer will install a privacy policy, terms of service, and cookie consent banner (GDPR/CCPA compliant) on every site. The specific legal language in these documents is provided as templates and is not legal advice. Client is responsible for ensuring their business practices comply with all applicable laws. Designer recommends Client review final privacy policy language with a qualified attorney.
11. Intellectual Property & Third-Party Assets
Stock photos, fonts, plugins, and themes used remain subject to their respective third-party licenses. Designer will only use properly licensed assets. Client warrants that all content they provide (photos, text, logos) is original or properly licensed.
12. Cancellation
If Client cancels after work has begun, the 50% deposit is forfeited. If Designer cancels for any reason, the full deposit is refunded within 5 business days.
13. Limitation of Liability
Designer's total liability is limited to the total amount paid under this Agreement. Designer is not liable for lost revenue, business opportunities, or damages resulting from website downtime, third-party service changes, hosting provider issues, or events outside Designer's reasonable control.
14. Dispute Resolution
Both parties agree to attempt good-faith resolution before pursuing legal action. This Agreement is governed by the laws of the State of Florida. Any unresolved disputes shall be handled in Orange County, Florida.
15. Entire Agreement
This Agreement, together with the selections made in this intake form, constitutes the entire agreement between the parties and supersedes all prior discussions. Modifications require written consent from both parties.

Three Birdies Ai — AI Partner Services Agreement
This agreement ("Agreement") is between the Client identified in this intake form and August, operating as Three Birdies Ai ("Provider"), for AI automation services as described below.
1. Scope of Work
Provider will design, build, and deploy custom AI automations (agents, workflows, or integrations) to address Client's specific business pain points identified during a discovery call. Exact scope is defined in a statement of work agreed to in writing after the discovery call and before any payment is invoiced.
2. Payment Terms
Pricing reflects Provider's founding-client rate — available to the first five (5) Three Birdies Ai clients in exchange for being early proof points for the practice. The rate consists of a one-time $1,500 setup fee covering discovery, spec, build, integration, testing, and launch of the initial automation, plus a recurring $399 per month management fee covering monitoring, optimization, and minor adjustments after launch. Pass-through costs (Anthropic API tokens, Twilio phone/SMS, third-party voice/TTS services) are billed by the respective providers directly to Client's own accounts and are not included in the figures above. The founding rate is locked for twelve (12) months from launch. After Provider's fifth signed client, standard rates ($2,500 setup / $1,130 per month) apply to new clients only — existing clients retain their founding rate. The setup fee is invoiced after scope is agreed in writing and must be paid in full before build begins. Monthly fees are billed on the first of each month via Stripe. All fees are in USD.
3. Discovery & Scoping
Provider will conduct a scheduled discovery call (approx. 30 minutes) to map Client's pain points, current tools, and desired outcomes. A written scope of work will be delivered within 3 business days of the call. Client must approve the scope in writing before the setup fee is invoiced.
4. Timeline
Standard builds are delivered within 2–4 weeks of setup fee payment and Client providing all required access (CRM credentials, API keys, tool logins). Delays caused by Client in providing access extend the timeline accordingly.
5. Client Responsibilities
Client agrees to: (a) provide access to the tools the AI must integrate with (CRM, email, calendar, phone system, etc.); (b) respond to Provider's questions within 3 business days during setup; (c) designate a single point of contact for project decisions; (d) participate in a final acceptance review before launch.
6. Data & Privacy
Provider will handle Client data only to the extent necessary to configure and operate the agreed automations. Provider will not sell, share, or use Client data outside this Agreement. Client retains full ownership of all data in their systems. Credentials shared with Provider are used exclusively for configuration and will be rotated or removed on Client's request or termination of this Agreement.
7. Tools & Third-Party Services
Automations may rely on third-party platforms (OpenAI, Anthropic, Twilio, Zapier, etc.). Client acknowledges that these tools carry their own fees, terms, and occasional outages. Provider will recommend cost-effective tool choices but is not responsible for third-party price changes, feature changes, or service interruptions. Client may be required to hold accounts with these services in their own name.
8. Ownership
Client owns all data, accounts, and configurations created under their name. Provider retains rights to general methodologies, templates, and reusable code components developed across multiple clients. Any Client-specific prompts, workflows, or custom integrations are licensed to Client in perpetuity, even after termination of the monthly plan.
9. Cancellation & Termination
Monthly management may be cancelled by either party with 30 days written notice. The setup fee is non-refundable after scope is approved and work has begun. If Provider terminates without cause, Provider will deliver all work-in-progress and refund any unused portion of pre-paid monthly fees within 5 business days.
10. Performance & Guarantees
Provider will use reasonable efforts to build automations that meet Client's documented scope. Provider does not guarantee specific business outcomes (e.g., percentage revenue increases, number of leads). Performance reports will be provided monthly. Scope adjustments based on observed performance are included in the monthly fee.
11. Limitation of Liability
Provider's total liability is limited to the total amount paid under this Agreement in the 3 months prior to the claim. Provider is not liable for lost revenue, missed leads, data loss from third-party tools, or damages resulting from outages outside Provider's reasonable control.
12. Dispute Resolution
Both parties agree to attempt good-faith resolution before pursuing legal action. This Agreement is governed by the laws of the State of Florida. Any unresolved disputes shall be handled in Orange County, Florida.
